Board Evaluations

Assessing Your Board’s Effectiveness

Improving Your Board’s Performance & Contribution

a proven PROCESS TO IDENTIFY, CONFIRM AND ADDRESS BOARD PERFORMANCE OPPORTUNITIES

Boards need to consider their performance relative to structural, process and people dynamics.  Board effectiveness evaluations and governance audits are our core services.

As such, the approach John T. Dinner Board Governance Services employs to benefit clients and ensure the success of all aspects of the governance-related assessment initiatives is to undertake this important work focused on key governance principles and outcomes and aligned with your organization’s mission. Our evaluations:

  • Focus on targeted and relevant board performance criteria

  • Rely on customized assessment approaches and tools

  • Follow a robust evaluation process

  • Benefit from Insightful analysis reflecting 25 year’s experience

  • Result in impactful recommendations and guidance that effect needed change in the boardroom

To ensure you and your board benefit from a customized process, we use a principles-based approach that are customized to your organization’s specific and unique needs to evaluate your board’s effectiveness. Opportunities for improved effectiveness are identified by how well the Board delivers on these critical oversight principles and the structures and processes used to deliver on them.

In undertaking this work, clients are encouraged to view governance in the context of an integrated framework. Good governance is not a set of isolated initiatives or practices brought together in a forced model. Rather, governing well results from a system of mutually reinforcing structures, processes and culture that, together, provide the foundation for board effectiveness. We look at all contributors to board effectiveness and performance.

Additionally, most board-related assessments are “inputs” focused. While relevant inputs (e.g., practices, processes, guidelines, regulatory requirements, etc.) are essential considerations, attention also needs to be paid to their impact in terms of furthering an organization’s mission. Consideration of governance outcomes serves to provide needed focus for a board that wants to improve its performance.

It is a working principle of John T. Dinner Board Governance Services to align board and director evaluation processes with the needs of the organization and with the level of rigour at which Stakeholders and all Directors can commit to the success of the processes.
